Join our host, facilitator, and panel of experts as we discuss the duties, responsibilities, and obligations of directors both during the COVID-19 pandemic and post lockdown.
The webinar will discuss whether these duties and obligations are different from directors’ duties and obligations pre COVID-19 / lockdown. Included in the discussion is the effect of the CIPC’s directive, not during COVID-19 (and until further notice), to give notices to companies in terms of Section 22(2) of the 2008 Companies Act.
We will also briefly cover similar provisions in the United Kingdom and Australia.
Further to the above, we will also be discussing:
- The rights and duties of directors at present, what they should be doing, what claims could be brought against them for gross negligence, reckless trading or fraud in terms of Chapter 14 of the repealed 1973 Companies Act and in terms of Section 77(3) as read with 218(2) of the 2008 Companies Act.
- The circumstances under which each of the above-mentioned Acts would apply.
- The differences between the various claims made under these Acts.
- The statutory defences available to directors who face such claims.
